Terms of Service

1. Agreement to Terms

By accessing or using ShotLace ("the Service"), operated by ShotLace LLC, a New Jersey limited liability company ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users of the Service, including photographers, studio owners, couples completing questionnaires, and crew members accessing shared checklists.

ShotLace is a web-based wedding photography workflow platform that provides:

To use the Service, you must create an account with a valid email address. You are responsible for:

4. Pricing and Payments

4.1 Plans and Pricing

All prices are in US Dollars (USD). Prices do not include applicable sales tax, VAT, or other government-imposed fees, which will be added to your total where required by law. ShotLace offers the following plans, subject to change with notice:

4.2 Automatic Renewal and Authorization to Charge

Your Monthly or Annual subscription will automatically renew at the end of each billing period, and you will be automatically charged the then-current rate for your plan, unless you cancel before the renewal date.

By providing your payment information and completing a purchase, you authorize ShotLace to charge the payment method you provide for the applicable fees, including recurring charges for subscription plans. This authorization continues until you cancel your subscription.

If you subscribed during a promotional or founder pricing window, your rate at the time of subscription remains locked for as long as your subscription remains continuously active. If you cancel and later resubscribe, your pricing will be the then-current rate.

4.3 Payment Processing

All payments are processed securely through Stripe, Inc., a PCI Level 1 certified payment processor. By making a purchase, you also agree to Stripe's Terms of Service. We do not store your credit card information on our servers. Credit card data is transmitted directly to Stripe and never touches our systems.

4.4 Failed Payments

If a scheduled payment fails, we will attempt to process the charge up to 3 additional times over 14 days. If all attempts fail, your subscription will be suspended until payment is successfully processed. You will be notified by email of any failed payment attempts.

4.5 Cancellation

You can cancel your subscription at any time through your account dashboard or by emailing support@shotlace.com. Cancellation takes effect at the end of the current billing period. After cancellation:

To request a refund, contact us at support@shotlace.com. We ask that you contact us to resolve any billing disputes before initiating a chargeback with your bank or card issuer. If a chargeback is filed without first contacting us, we reserve the right to suspend your account pending resolution and to dispute the chargeback through proper channels.

4.7 Price Changes

We reserve the right to change pricing at any time. Existing subscribers will be notified via email at least 30 days before any price increase takes effect. If you do not agree to the new pricing, you may cancel before the new price takes effect and will not be charged at the increased rate.

6.1 Ownership

You retain ownership of all data and content you upload to ShotLace, including event details, wedding party information, shot lists, and studio branding.

6.2 License

By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We will not sell, share, or use your content for any other purpose.

6.3 Data Export

You may request an export of your data at any time by contacting support@shotlace.com. Exports will be provided in a commonly used, machine-readable format (JSON or CSV) within 30 days of your request.

We strive to keep ShotLace available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including but not limited to natural disasters, internet service disruptions, hosting provider outages, governmental actions, or other force majeure events. We are not liable for any loss or damage resulting from downtime caused by these circumstances.

9. Intellectual Property

The ShotLace name, logo, design, and all original content, features, and functionality are owned by ShotLace LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOTLACE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Our total liability for any claim arising from these terms or the Service shall not exceed the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) fifty US dollars ($50.00 USD).

Nothing in these terms limits our liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded or limited by applicable law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free, secure, or available at all times.

12. Indemnification

You agree to indemnify, defend, and hold harmless ShotLace LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your violation of these terms, your misuse of the Service, or any illegal conduct by you in connection with the Service.

13. Dispute Resolution

Before filing any formal claim or legal action, you agree to contact us at support@shotlace.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.

If the dispute cannot be resolved informally, it shall be resolved in the state or federal courts located in New Jersey. These terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles.

14. Account Termination

We reserve the right to suspend or terminate your account for violation of these terms. Except in cases of fraud, illegal activity, or imminent security threats, we will provide at least 7 days' notice before termination. Upon termination:

You may delete your account at any time through your account dashboard or by contacting support@shotlace.com. All associated event data, questionnaire responses, and crew share links will be permanently deleted within 30 days of your request.

15. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. If you do not agree to the updated terms, you may cancel your subscription and stop using the Service before the changes take effect. If you have prepaid amounts (e.g., Annual or Lifetime plans), you may request a prorated refund for the unused portion. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

16. General Provisions

16.1 Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16.2 Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and ShotLace LLC regarding the Service and supersede all prior agreements and understandings.

16.3 Waiver

Our failure to enforce any provision of these terms shall not be construed as a waiver of that provision or the right to enforce it at a later time.

16.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. ShotLace LLC may assign these terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to you.
